This agreement governs all code (in either text source or binary executable format, the "Software") that Michiel de Bruijn makes available via the X42 Development and Consultancy web site. You acknowledge that, by downloading and using the Software, you are acquiring only a limited nonexclusive license to use the Software (the "License"). Michiel remains the owner of all right, title, and interest in the Software.
The License permits you unlimited use of the Software, provided:
1. the copyright notice and other comments designated as such are left intact;
2. you do not sublicense or sell the Software for profit. Incorporating the Software in a product that adds substantial value to it and subsequently reselling that is of course permitted.
Independent of the foregoing provisions, IN NO EVENT WILL MICHIEL BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM OR CONNECTED WITH THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, regardless whether he knows or has reason to know of the possibility of such damages.
Some states and countries do not allow exclusion or limitation of incidental or consequential damages: if you live in such state or country, Michiel will NOT license any Software to you.
Independent of the foregoing provisions, you agree to defend and indemnify Michiel against, and hold him harmless from, any and all claims, damages, losses, and expenses of any kind arising from or connected with the operation of your business, your personal life, or whatever.
This License Agreement is the exclusive agreement between you and Michiel concerning the Software and supersedes any and all prior oral or written agreements, negotiations, or other dealings between Michiel and you concerning the Software.
This License Agreement may be modified only by a writing signed by you and Michiel.
This License Agreement will be governed by the law of the Kingdom of The Netherlands applicable to contracts executed and performed entirely in, and by residents of, that country.
